Terms & Conditions

1. Scope of Agreement & Statements of Work

These Terms and Conditions govern all custom software development, Next.js web application engineering, Technical SEO, headless e-commerce, and digital transformation services delivered by GenForge Studio ("Agency") to the client ("Client"). Individual engagements are formalized via signed Statements of Work (SOW), purchase orders, or fixed-scope proposals defining milestones, deliverables, and financial schedules.

2. 100% Intellectual Property & Code Ownership

GenForge Studio operates on an open-architecture, zero-vendor-lockin principle. Unlike proprietary website builders or traditional agencies that retain ownership of backend infrastructure:

• Upon receipt of final milestone payment, 100% intellectual property, full Git source code repositories, deployment scripts, asset licenses, and system documentation are irrevocably assigned to the Client.
• The Client retains the absolute right to host, modify, scale, or transition the codebase to internal engineering teams without licensing fees or agency permissions.
• Pre-existing open-source libraries (e.g. Next.js, React, Tailwind CSS, Lucide icons) remain governed by their respective permissive licenses (MIT / Apache 2.0).

3. Milestone Execution & Client Approvals

Projects proceed through defined phased deliverables: (1) Architecture & UI/UX Specification, (2) Frontend & API Integration on private staging environments, (3) QA & Core Web Vitals Optimization, and (4) Production Go-Live Deployment.

Clients are granted direct access to live staging links and senior developers. Milestone sign-offs trigger subsequent sprint phases. Revisions within the agreed scope are executed promptly; substantial architectural pivots outside the original SOW will be scoped via a formal change order.

4. 30-Day Post-Launch SLA Warranty

Every production release deployed by GenForge Studio is backed by a thirty (30) day complimentary engineering warranty starting on the official go-live date. This warranty guarantees:

• Zero-cost remediation of software defects or functional regressions.
• Maintenance of agreed Core Web Vitals thresholds (sub-1.5s LCP, 90+ Lighthouse performance).
• DNS cutover and SSL verification support across production CDNs.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all business specifications, proprietary algorithms, financial figures, customer data, and non-public product roadmaps as strictly confidential. GenForge Studio routinely signs mutual Non-Disclosure Agreements (NDAs) prior to receiving confidential architecture briefs.

6. Payment Terms, Taxes & Currency

Invoices are issued in Indian Rupees (INR) for Indian domestic entities and United States Dollars (USD) or United Arab Emirates Dirhams (AED) for international and GCC clients. Payments must be remitted via approved corporate bank transfer or authorized payment gateways according to milestone schedules. Goods and Services Tax (GST) or applicable VAT will be invoiced according to prevailing statutory rates.

7. Limitation of Liability

In no event shall GenForge Studio be liable for indirect, incidental, special, or consequential damages resulting from third-party hosting outages (e.g. AWS, Cloudflare, Vercel), external API downtime, or client-side infrastructure modifications executed post-handover. Total aggregate liability under any Statement of Work shall not exceed the total fees paid by the Client for that specific engagement.

8. Governing Law & Jurisdiction

For contracts entered into in India, these Terms are governed by and construed in accordance with the laws of India, and courts in Lucknow, Uttar Pradesh shall have exclusive jurisdiction. For contracts executed through our UAE operations, governing jurisdiction is established under the commercial legal framework of the United Arab Emirates.
